AI-Powered Texting Platform Use Agreement

1. Acceptance of Terms

By using the AI-powered texting platform provided by Chekkit ("Company"), users ("You" or "Your") agree to be bound by the terms of this Agreement.

2. Description of Service

The Company provides an AI-powered texting platform that assists in expanding, elaborating, and refining text based on user input. The service includes various features like expanding bullet points into detailed text, adjusting the tone of the text, and checking for spelling/grammar errors.

3. User Responsibilities

You agree to use the platform for lawful purposes only and are responsible for any content you input into the platform. You must ensure that your use of the platform complies with all applicable laws and regulations.

4. Prohibited Content

You agree not to input or transmit any content that is illegal, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.

5. HIPAA and Sensitive Information

This AI-powered texting platform is not designed for the processing or handling of Protected Health Information (PHI) as defined under the Health Insurance Portability and Accountability Act (HIPAA). Any Business Associate Agreements (BAAs) previously established between you and the Company do not apply to the use of this platform. You acknowledge and agree to use this platform at your own risk and assume full responsibility for any PHI or sensitive information disclosed or used herein. The Company will not be liable for any unauthorized use of PHI on this platform.

6. Limitation of Liability

The Company shall not be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the platform; (ii) any conduct or content of any third party on the platform; (iii) any content obtained from the platform; and (iv) unauthorized access, use, or alteration of your transmissions or content.

7. Indemnification

You agree to defend, indemnify and hold harmless the Company and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the platform, or b) a breach of these terms.

8. Modification of Terms

The Company reserves the right, at its sole discretion, to modify or replace these terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

9. Governing Law

These terms shall be governed and construed in accordance with the laws of Canada, without regard to its conflict of law provisions.

10. Acknowledgement

BY USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THIS AGREEMENT AND AGREE TO BE BOUND BY ITS TERMS.
